By accepting this document, the Client declares to be a natural or legal person acting within the framework of their professional or business activity, and that they have read, understood, and accepted these terms in their entirety.
1. OBJECT OF THE SERVICE
buildthedrop.com is a cloud-based software-as-a-service (SaaS) platform designed for the management, automation, and optimization of e-commerce stores operating under the dropshipping business model. The service enables inventory synchronization, order management, and integration with third-party e-commerce platforms such as Shopify and WooCommerce.

3. PAYMENT PROCESSING AND RENEWALS
- Payment Gateway: All payments are securely processed through the Stripe platform. The Provider does not store or have access to the Client's credit or debit card details.
- Automatic Renewal: Paid plans (Init, Pro, and Business) automatically renew at the end of the contracted billing period (monthly or annual). The corresponding amount will be charged to the payment method provided by the Client unless the subscription is cancelled prior to the renewal date.
4. CANCELLATION, TRIALS, AND REFUND POLICY
- No Trial Period: There are no free trial periods for paid plans. The basic features of the platform can be evaluated indefinitely via the Free Plan.
- No Refunds: As this is a digital software delivery service providing immediate access for professional use, no refunds or money-back returns will be issued under any circumstances.
- Effect of Cancellation: The Client may cancel their paid subscription at any time directly from their user dashboard. Cancellation will stop the next automatic renewal, and the Client will retain access to the contracted features until the end of the current paid monthly or annual period.
5. AFFILIATE PROGRAM
buildthedrop.com features an integrated affiliate program. Participation is subject to the following special conditions:
-
Payment Infrastructure: Commissions are managed and paid out automatically using Stripe Connect technology. It is an essential requirement that the affiliate has a valid, linked account on this payment gateway.
-
Commission Structure (Tiers): Commission percentages are calculated based on the volume of active users referred by the affiliate:
-
0 to 100 users (Standard): 15% commission per subscription payment.
-
101 to 500 users (Pro): 20% commission per subscription payment.
-
501 to 2,000 users (Expert): 25% commission per subscription payment.
-
2,001+ users (Elite): 30% commission per subscription payment.
-
Payout Timing: Commissions are settled and paid instantly to the affiliate's Stripe Connect account at the exact moment the referred user successfully completes and consolidates their subscription payment.
-
Prohibited Practices: The use of spamming techniques, misleading advertising, or self-referrals (creating accounts through one's own link to obtain a discount) is strictly prohibited. The Provider reserves the right to terminate participation and withhold funds from any affiliate engaging in fraudulent activities.
6. SOFTWARE OWNERSHIP AND INFRASTRUCTURE
The Client acknowledges that they are contracting a temporary right to use the software and that all intellectual property regarding the code, database, and infrastructure (hosted on distributed servers within AWS eu-west-1 and MongoDB Atlas eu-west-1) belongs exclusively to Oriol Martí Collell.
7. LIMITATION OF LIABILITY
Since buildthedrop.com is a technical management tool that integrates with third-party services, the Provider shall not be liable under any circumstances for:
- Any financial losses, drops in sales, penalties, or loss of profits in the Client's e-commerce stores (e.g., Shopify).
- Stockouts, shipping delays, or commercial disputes between the Client and their dropshipping suppliers or end consumers.
- Service interruptions or operational errors resulting from technical downtime within the AWS or MongoDB Atlas infrastructure.
The Provider's total liability for any claim arising from these terms shall be strictly limited, at maximum, to the total amount paid by the Client during the last three months of service.
8. GOVERNING LAW AND JURISDICTION
These Terms of Service shall be governed by and construed in accordance with the laws of Spain. Both parties expressly waive any other jurisdiction that may correspond to them and agree to submit any dispute arising from this contract to the exclusive jurisdiction of the Courts and Tribunals of Terrassa (Barcelona, Spain).
ANNEX I. DATA PROCESSING AGREEMENT
This Annex forms part of these Terms and governs, under Article 28 of Regulation (EU) 2016/679 (GDPR), the processing of personal data that the Provider carries out on behalf of the Client. The Client accepts it by accepting the Terms.
1. Parties and subject matter. The Client acts as controller and the Provider as processor of the personal data of the buyers of the stores the Client connects to the platform.
2. Data and data subjects. Data subjects: the end buyers of the Client's stores. Data: identification and contact data (name, email, phone number), shipping address and order data (products, amounts, status and tracking number). No special categories of data are processed.
3. Nature, purpose and duration. The Provider receives the orders from the Client's store, passes them to the supplier the Client has connected and syncs their status and tracking, for the sole purpose of providing the contracted service and for the term of the contractual relationship.
4. Processor obligations. The Provider undertakes to:
- Process the data only on the Client's documented instructions. The configuration the Client sets up on the platform (connected stores and suppliers, rules, automatic orders) constitutes those instructions.
- Ensure that the people authorised to process the data have committed to confidentiality.
- Apply appropriate technical and organisational security measures under Article 32 GDPR.
- Assist the Client, as far as possible, in responding to data subject requests and in meeting the obligations of Articles 32 to 36 GDPR.
- Notify the Client without undue delay of any personal data breach it becomes aware of.
- Make available to the Client the information needed to demonstrate compliance with this Annex and allow reasonable audits, with prior notice.
5. Sub-processors. The Client gives the Provider general authorisation to engage sub-processors. As of the date of this Annex they are: Amazon Web Services (hosting, in the European Union region, Ireland) and MongoDB Atlas (database). The Provider will inform the Client of any intended change to this list so the Client can object, and will impose the same data protection obligations on sub-processors. The stores and suppliers the Client connects (for example Shopify or AliExpress) are not sub-processors of the Provider: the Client decides to share the data with them.
6. International transfers. If a sub-processor processes the data outside the European Economic Area, the transfer relies on the EU-US Data Privacy Framework or on the European Commission's standard contractual clauses.
7. End of processing. When the contractual relationship ends, the Provider will delete the personal data processed on the Client's behalf within 30 days at most, unless the Client asks for it to be returned first or the law requires it to be kept.
8. Controller obligations. The Client guarantees that it has a legal basis to process its buyers' data and share it with the Provider, that it has informed data subjects as required by the GDPR, and that its instructions comply with the law.
